These Terms of Service ("Terms") govern your use of the Ads Optimiser platform and website operated by Cintelis Pty Limited (ABN 51 638 482 970) ("we", "our", "us"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.
"Platform" means the Ads Optimiser web application, APIs, and related tools available at app.adsoptimiser.com.au. "Services" means all products, features, and functionality provided through the Platform. "User" or "you" means any individual or entity that accesses or uses our Services. "Content" means any data, text, information, or materials submitted to or generated through the Platform.
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our Services. If you are using our Services on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.
To use certain features of our Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.
You agree to use our Services only for lawful purposes and in accordance with these Terms. You must not: use the Services in any way that violates applicable Australian or international law; attempt to gain unauthorised access to any part of the Platform or related systems; interfere with or disrupt the integrity or performance of the Services; use the Services to transmit harmful, offensive, or misleading content; reverse engineer, decompile, or disassemble any aspect of the Platform; or resell, sublicense, or redistribute the Services without our prior written consent.
Our Platform integrates with Google Ads, Meta Ads, and TikTok Ads via their respective authorisation protocols. By connecting your accounts, you authorise us to access and manage your advertising data as necessary to provide our Services. You acknowledge that: we act on your behalf when making optimisation adjustments; you remain solely responsible for your advertising content and compliance with ad platform policies; we are not liable for any changes in third-party platform policies, pricing, or availability; and you may revoke access at any time through your respective account settings.
All intellectual property rights in the Platform, including software, algorithms, designs, trademarks, and documentation, are owned by Cintelis Pty Limited or its licensors. You retain ownership of your data and Content. By using the Services, you grant us a limited, non-exclusive licence to use your data solely for the purpose of providing and improving our Services.
Certain features of our Services may require payment. All fees are in Australian Dollars (AUD) unless otherwise stated. Prices are inclusive of GST where applicable. We will provide you with clear pricing information before any charges apply. You agree to pay all fees associated with your selected plan in a timely manner.
We strive to ensure the Platform is available at all times but do not guarantee uninterrupted access. We may perform scheduled maintenance, upgrades, or experience unforeseen outages. We will endeavour to provide reasonable notice of planned downtime where practicable.
To the maximum extent permitted by law, including the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)), our Services are provided "as is" and "as available". We do not warrant that the Services will meet your specific requirements, be error-free, or achieve particular advertising results. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement.
To the maximum extent permitted by law, our liability to you for any loss or damage arising out of or in connection with these Terms or the Services is limited to the total fees paid by you to us in the 12 months preceding the event giving rise to the liability. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
You agree to indemnify and hold harmless Cintelis Pty Limited, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any third-party rights.
Either party may terminate these Terms at any time by providing written notice. We may suspend or terminate your account immediately if you breach these Terms. Upon termination, your right to use the Services ceases, and we may delete your account data after a reasonable retention period, subject to applicable law.
These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting an updated version on our website or by email. Your continued use of the Services after such changes constitutes acceptance of the revised Terms.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
